These Terms of Use (“Terms”) govern your access to and use of the website located at candbpartners.com and any related pages, content, features, or services (collectively, the “Site”) operated by C&B Partners LLC (“Company,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Site.

The Site provides information about the G.R.O.W.T.H. Practice Optimization Model and our performance-based partnership services for dental practices. Content on the Site is provided for general informational and marketing purposes only. Nothing on the Site constitutes an offer, guarantee, or binding commitment to enter into any consulting engagement or partnership.

Any actual engagement between you and C&B Partners LLC will be governed by a separate written agreement, which will control in the event of any conflict with these Terms.

The Site may discuss concepts related to practice profitability, operational efficiency, marketing, and performance optimization. However, the Site does not provide:

• Dental or other clinical advice;
• Legal advice;
• Tax advice; or
• Financial, investment, or accounting advice.

All clinical decisions remain solely with you and your licensed professionals. You should consult your own legal, financial, tax, and clinical advisors before acting on any information from the Site.

The Site may reference potential improvements in metrics, profitability, net profit, or “top-10%” performance. Any examples, projections, or ranges (including references to doubling profit or increasing net operating profit) are for illustrative and educational purposes only.

Your actual results will depend on a variety of factors, including but not limited to: your current baseline performance, market conditions, team participation, accuracy and completeness of your data, implementation of recommendations, and factors beyond our control. No specific outcome, revenue, profit, or level of performance is promised or guaranteed.

The G.R.O.W.T.H. Practice Optimization Partnership is not available to every practice and is not automatically offered to anyone who visits the Site or completes a form. Partnership is:

• By invitation only;
• Subject to our internal analysis and qualification process;
• Dependent on alignment in mindset, opportunity, and readiness; and
• Documented through a separate written agreement.

Use of the Site does not create a client–consultant relationship between you and C&B Partners LLC.

The Site and all content on it—including but not limited to text, graphics, logos, icons, images, videos, audio clips, downloads, data compilations, software, the G.R.O.W.T.H. name and framework, KPIs, scoring methodologies, tools, and processes—are owned by C&B Partners LLC or its licensors and are protected by intellectual property laws.

You may view and print limited copies of Site content for your own internal, non-commercial use, solely for the purpose of evaluating a potential relationship with us. You may not copy, reproduce, modify, adapt, distribute, publicly display, or create derivative works from any content on the Site without our prior written permission.

You agree not to:

• Use the Site for any unlawful purpose;
• Attempt to gain unauthorized access to any part of the Site, servers, or networks;
• Interfere with or disrupt the Site or its security features;
• Use any automated means (such as bots or scrapers) to access the Site without our permission;
• Reverse-engineer, decompile, or attempt to derive any source code, algorithms, or proprietary systems described on the Site; or
• Use Site content in a way that competes with or imitates our services, programs, methodologies, or tools.

If you submit information through the Site (for example, via a contact form), you agree that:

• All information you provide is accurate and complete to the best of your knowledge;
• You have permission to share that information; and
• You will not submit any protected health information (PHI) or patient-identifiable medical data through the Site.

The Site is not intended to receive or store PHI. Do not upload, submit, or otherwise disclose any patient records or other information regulated under HIPAA or similar laws through Site forms or general contact channels.

The Site may contain links to third-party websites. These links are provided for convenience only. We do not control and are not responsible for the content, privacy practices, or policies of any third-party websites. Accessing any third-party site is at your own risk.

The Site and all content are provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected.

To the fullest extent permitted by law, in no event shall C&B Partners LLC or its owners, officers, employees, contractors, or agents be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with:

• Your access to or use of (or inability to access or use) the Site;
• Any reliance on information provided on the Site; or
• Any conduct or content of any third party on or linked from the Site.

Our total liability for any claim arising out of or relating to the Site shall not exceed one hundred U.S. dollars (USD $100), even if this remedy fails of its essential purpose.

You agree to indemnify, defend, and hold harmless C&B Partners LLC and its owners, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with:

• Your use of the Site;
• Your violation of these Terms; or
• Your violation of any rights of another person or entity.

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict-of-law principles.

You agree that any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Idaho, and you consent to the personal jurisdiction of such courts.

We may update or modify these Terms from time to time. When we do, we will change the “Last Updated” date at the top of this page. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms.
